# DealScout — Terms of Service (TEMPLATE)

### 1. The Service
DealScout provides software that aggregates publicly available vehicle listing
data, applies automated analysis (including AI-generated urgency scores, market
value estimates, and deal commentary), and delivers it to subscribing dealers
("you"). DealScout is an information tool. We do not buy, sell, broker, or take
part in any vehicle transaction.

### 2. No Guarantees of Outcome
**We do not promise you will buy any number of vehicles.** Lead volume, lead
quality, seller responsiveness, and deal outcomes depend on your market, your
offers, and your execution. Any figures on our site (average spreads, example
deals) are illustrative or historical, not projections or commitments.

### 3. Data — As Is
Listing data originates from third-party sources and public listings. We apply
filters (deduplication, salvage-title detection, dealer-in-disguise detection)
but **cannot guarantee accuracy, completeness, or availability** of any listing,
price, market value estimate, or AI analysis. AI-generated scores and commentary
are estimates, not appraisals. Always verify title, condition, and history
before purchasing any vehicle.

### 4. Your Responsibilities When Contacting Sellers
You are solely responsible for complying with all laws applicable to your
outreach, including the TCPA, state and federal Do-Not-Call rules, and any
recording-consent laws. DealScout provides contact information as published by
sellers; initiating contact is your decision and your legal responsibility.
You agree to treat private sellers honestly and lawfully.

### 5. Subscriptions, Billing & Cancellation
Subscriptions are billed monthly in advance. **All plans are month-to-month.
You may cancel at any time, effective at the end of the current billing period.
Subscriptions never auto-renew into a fixed term, and there are no early
termination fees.** Territory scope (Metro / State / National) is defined at
purchase and may be changed for the next billing period.

### 6. Acceptable Use
You may not: resell or redistribute lead data outside your dealership; scrape
or bulk-export the service; use the service to harass sellers; use it for any
unlawful purpose; or share login credentials beyond the seats included in your
plan.

### 7. Intellectual Property
The DealScout software, brand, scores, and analyses are our property. Public
listing facts remain public; our arrangement, scoring, and analysis of them are
ours. You receive a limited, non-exclusive, non-transferable license to use the
service while subscribed.

### 8. Disclaimer & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM
EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE
AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE. WE ARE NOT
LIABLE FOR LOST PROFITS, LOST DEALS, OR CONSEQUENTIAL DAMAGES.

### 9. Termination
We may suspend or terminate accounts that violate these terms. You may cancel
at any time under Section 5. Upon termination, your access ends; Sections 7–8
survive.

### 10. Governing Law & Disputes
These terms are governed by the laws of the State of Florida. [עו"ד יחליט:

We may update these terms with 30 days' notice by email. Continued use after
